We have extensive legal experience, knowledge and background to advise and assist on all matters of the domestic law of the Kingdom of
Saudi Arabia. We advise a diverse range of clients – across many sectors including oil and gas, manufacturing, healthcare, transportation, hospitality and education – on a broad range of legal matters, including matters relating to employment law, real estate, corporate and commercial law, advice in relation to governmental permits, approvals, permissions and consents and, as needed, representation in Saudi Arabian courts or in arbitrations and regulatory investigation.
Regulatory
In Saudi Arabia, we regularly advise clients on local laws and regulations related to the following:
licensing requirements to establish technical and scientific offices, branches (where possible) and companies, including joint ventures
registration and deregistration of distributors
anti-bribery, gifts and entertainment
procurement law
anti-concealment
(also known as anti-fronting), which is relevant to involvement of foreign manufacturers in promoting sales through distributors

off-take and supply agreements
handling real estate matters, primarily leases, but also acquisition and/or construction and equipping of facilities
advising on technology agreements, including IT, data privacy and software procurement, and licensing of intellectual projects
Finance
We represent borrowers and lenders in a variety of conventional and Islamic financing financings, including:
debt
capital market transactions, including sukuk
complex project financings involving multiple cross-border lenders and ECAs
working capital and term financings for general corporate purposes and equipment lease financings
trade financing arrangements
Intellectual Property
Our intellectual property (“IP”) team has substantial experience with:
analyzing patent portfolios to determine the breadth of protection and validity of the patents within a given portfolio
identifying third party licensing opportunities as well as preparing and negotiating license agreements
assisting company’s goals to monetize the portfolios through commercializing and/or licensing efforts
Disputes
We have substantial dispute resolution and litigation practices in the world, with experience of handling and resolving multi-jurisdictional mandates and international arbitration across all industry sectors and types of disputes. In Saudi Arabia we have decades of experience litigating cases before specialty tribunals, the Commercial Court and the Administrative Court. Our experience includes informal and formal resolution of disputes relating to:
employment and labor
commercial agencies/distributors and other commercial transactions
construction claims
shareholder and joint venture disputes
criminal cases involving employees
administrative cases
regulatory enforcement actions, with an emphasis on protecting the name and reputation of the client

Employment and Immigration
We have a comprehensive employment practice, offering advice relating to:
COVID-19 and related developments in labor laws and government directions
labor and immigration laws including workplace rules

hiring and termination issues, including end of service obligations
compliance with the pension requirements of the General Organization for Social Insurance (“GOSI”)
